TRASFERIMENTO DI PORTAFOGLIO ASSICURATIVO

AmTrust International Underwriters DAC (AIUD) propone di trasferire una parte delle attività assicurative sottoscritte per il tramite dalla propria Sede Secondaria italiana ad AmTrust Assicurazioni S.p.A. (AA) (nel seguito “Proposta di Trasferimento”). La Proposta di Trasferimento non avrà alcun impatto sui termini e sulle condizioni della coperture esistenti degli Assicurati. La Proposta di Trasferimento sarà effettuata mediante una cessione di attività assicurativa ai sensi della Section 13 dell'Assurance Companies Act 1909, della Section 36 dell'Insurance Act 1989 e del Regulation 41 of the European Union (Insurance and Reinsurance) Regulations 2015. La Proposta di Trasferimento richiederà l'approvazione della High Court irlandese (nel seguito la “Corte”). Secondo la normativa irlandese, l'udienza davanti alla Corte è prevista per martedì 24 marzo 2026 alle ore 11:00 (ora irlandese) presso la High Court, The Four Courts, Inns Quay, Dublino 7. Qualsiasi parte interessata che intenda comparire all'udienza di Petizione (Petition Hearing) deve darne comunicazione scritta agli Avvocati dei ricorrenti, William Fry LLP, 2 Grand Canal Square, Dublino 2, D02 A342, Irlanda (citando il riferimento 029510.0002.EDC/NCA/RJR) entro e non oltre le ore 17:00 (ora irlandese) di venerdì 13 marzo 2026, comunicando la propria intenzione di comparire all'udienza relativa alla suddetta petizione e indicare ai suddetti Avvocati se intende sostenere o opporsi alla suddetta petizione. Tale comunicazione di intenzione di comparire deve essere firmata dalla persona o dalle persone interessate e deve contenere l'indirizzo della persona o delle persone interessate o dei loro Avvocati. Qualsiasi persona che abbia comunicato la propria intenzione di comparire all'udienza e che intenda opporsi alla Petizione dovrà indicare in una dichiarazione giurata i motivi di tale opposizione e tale dichiarazione giurata dovrà essere depositata presso l'Ufficio Centrale della High Court di Dublino e notificata a William Fry LLP all'indirizzo sopra indicato entro e non oltre le ore 17:00 (ora irlandese) di venerdì 13 marzo 2026.

INSURANCE BUSINESS PORTFOLIO TRANSFERS

AmTrust International Underwriters DAC (AIUD) is proposing to transfer a part of the insurance business underwritten by its Italian Branch to AmTrust Assicurazioni S.p.A. (AA) (the "Proposed Transfer"). The Proposed Transfer will have no effect on the terms and conditions of policyholders’ existing cover. The Proposed Transfer shall be carried out by means of an insurance business transfer under Section 13 of the of the Assurance Companies Act 1909, Section 36 of the Insurance Act 1989 and Regulation 41 of the European Union (Insurance and Reinsurance) Regulations 2015. The Proposed Transfer will require approval from the Irish High Court (the "Court"). The legal process is explained further in the documentation listed below.

The Court hearing is scheduled to take place on Tuesday, 24 March 2026 at 11.00 a.m. (Irish time) at the High Court, The Four Courts, Inns Quay, Dublin 7. Any interested party who intends to appear at the hearing of the Petition should notify the Petitioners' solicitors, William Fry LLP, 2 Grand Canal Square, Dublin 2, D02 A342, Ireland (quoting reference 029510.0002.EDC/NCA/RJR) in writing no later than 5.00 p.m. (Irish time) on Friday, 13 March 2026 of that party's intention to appear at the hearing of the said Petition and should indicate to the said solicitors whether such party intends to support or oppose the said Petition. Any such notice of intention to appear should be signed by that person or persons and should contain the address of that person or persons or their solicitors. Any person having delivered a notice of intention to appear at the hearing who intends to oppose the Petition should set out on affidavit the basis for such opposition and such affidavit should be filed in the Central Office of the High Court in Dublin and served upon William Fry LLP at the address above by no later than 5.00 p.m. (Irish time) on Friday, 13 March 2026.
